Stockroom OS — Terms of Service

These Terms of Service ("Terms") govern the merchant's use of the Stockroom OS application ("Stockroom OS," "the App"). By installing or using the App, the merchant ("you") agrees to these Terms. If you do not agree, do not install or use the App.

1. The service

Stockroom OS is a business inventory-operations application for merchants using the Clover point-of-sale platform. It reads and writes the merchant's own Clover data — under the permissions the merchant grants at install — to provide inventory health views, reorder suggestions, cycle counting, vendor receiving, and counter-sale and repair order creation. The App runs locally on a computer the merchant controls.

2. License

Subject to these Terms and to the merchant's active subscription or written order, Eth3r Systems grants the merchant a limited, non-exclusive, non-transferable, revocable license to install and use the App for the merchant's internal business operations. The merchant may not resell, sublicense, redistribute, reverse-engineer, or create derivative works of the App except as permitted by law.

3. Fees and subscription

Use of the App may require a subscription. Applicable plan and pricing are set out in the merchant's order or subscription agreement with Eth3r Systems. Fees are due as stated there. Eth3r Systems may change pricing for future billing periods on reasonable notice.

4. Clover relationship

Stockroom OS is an independent application that integrates with the Clover platform. Eth3r Systems is not Clover, and Stockroom OS is not endorsed, sponsored, or operated by Clover or its affiliates. The merchant's use of Clover is governed by the merchant's own agreement with Clover. The merchant is responsible for maintaining its Clover account and for the accuracy of the Clover data the App reads and writes.

5. Acceptable use

The merchant will use the App only for lawful business purposes, will not attempt to access data it is not authorized to access, and will not interfere with the App's security controls or with the Clover API. The merchant is responsible for the security of the computer and accounts on which the App runs.

6. Data and privacy

The App's handling of merchant data is described in the Privacy Policy, which is incorporated into these Terms by reference. In summary: the App stores data locally on the merchant's machine, encrypts OAuth tokens at rest, transmits merchant data only to the Clover API, never handles payment card data, and sends no merchant data to Eth3r Systems servers.

7. Warranty disclaimer

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. Eth3r Systems does not warrant that the App will be uninterrupted, error-free, or that inventory or sales figures it derives will be accurate in every case; the merchant remains responsible for verifying its own records.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ETH3R SYSTEMS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, OR DATA, ARISING OUT OF OR RELATING TO THE APP. ETH3R SYSTEMS' TOTAL AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE AMOUNT THE MERCHANT PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

9. Indemnification

The merchant will indemnify and hold Eth3r Systems harmless from claims arising out of the merchant's misuse of the App, violation of these Terms, or violation of applicable law.

10. Term and termination

These Terms apply for as long as the merchant uses the App. The merchant may stop using the App at any time by uninstalling it and revoking its authorization in the Clover dashboard. Eth3r Systems may suspend or terminate the license for breach of these Terms. On termination, the license ends; the merchant's locally stored data remains on the merchant's machine until the merchant deletes it.

11. Refunds

Subscription fees are billed in advance. Refund eligibility, if any, is governed by the merchant's order or subscription agreement with Eth3r Systems. Absent other terms, fees for a billing period already started are non-refundable, and cancellation stops billing for future periods.

12. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules. The parties submit to the courts located in Georgia for disputes arising under these Terms.

13. Changes to these Terms

Eth3r Systems may update these Terms to reflect changes to the App or to its business. Material changes will be noted by updating the effective date above; continued use after an update constitutes acceptance.
